Terms and Conditions

Article 1
Eisden Attorneys at Law B.V., trading under the name “True Lawyers”, hereinafter referred to as “True Lawyers”, is a private limited liability company incorporated in December 2016 under the laws of Curaçao. True Lawyers is a private limited company whose purpose is the practice of law and which is registered with the Curaçao Chamber of Commerce & Industry under registration number 142216.

Article 2
These General Terms and Conditions apply to all work performed or to be performed by or on behalf of True Lawyers and to all legal relationships of True Lawyers with third parties. These General Terms and Conditions expressly also apply to additional or follow-up assignments. The applicability of any terms and conditions of the Client is expressly excluded.
True Lawyers is entitled to amend the General Terms and Conditions. If the Client does not object in writing within 7 days after receipt of the amended terms and conditions, such amended terms and conditions shall be deemed accepted. In the event of amendments to these terms and conditions by True Lawyers, the amended terms and conditions shall apply to all new assignments as from the date of publication on www.true-lawyers.com. These General Terms and Conditions have been drawn up in both Dutch and English. In the event of any inconsistency, the Dutch text shall be binding.

Article 3
The legal relationship between the Client and True Lawyers constitutes an agreement for services. Assignments shall be performed exclusively for the benefit of the Client. No rights may be derived by third parties from the assignments or their performance.
In performing its services, True Lawyers shall at all times assume an obligation of best efforts and not an obligation to achieve a result. All services shall be performed — with the right of substitution — by True Lawyers. Both the Client and True Lawyers may terminate the agreement, if desired, with immediate effect by written notice of termination, by letter or email. Upon termination, the Client shall be obliged to pay the fees accrued up to the moment of termination, increased by any costs incurred by third parties engaged, or, in the case of a fixed fee, the agreed amount.

Article 4
Any liability of True Lawyers shall be limited to the amount covered under the professional liability insurance taken out. If and insofar as, for whatever reason, no payment is made under the liability insurance, liability shall be limited to the total amount of the invoice(s) relating to the relevant assignment, with a maximum of XCG 10,000.
True Lawyers shall not be liable for damage resulting from inadequate cooperation, information or materials provided by the Client.
By assigning work to True Lawyers, the Client agrees that communication in connection with the execution of the assignment may take place by electronic mail (email communication) and that the execution of the assignment may also take place by means of electronic data communication. The Client indemnifies True Lawyers in respect of communication by email and electronic data communication.
True Lawyers shall not be liable for damage resulting from the use of (electronic) means of communication, including damage caused by non-delivery or untimely delivery of electronic messages by third parties or by software or equipment used for electronic communication, or by the transmission of viruses or other harmful software or equipment.
Any claim for compensation of damage must be submitted in writing to True Lawyers no later than twelve months after the Client discovered or could reasonably have discovered the damage, failing which the right to compensation from True Lawyers shall lapse.

Article 5
In the context of the execution of assignments, True Lawyers is entitled to engage third parties, exercising the utmost care in their selection. Where possible, the choice of third parties to be engaged by True Lawyers shall be made in consultation with the Client. Any liability for shortcomings of such third parties is excluded. True Lawyers shall not be liable for any damage arising from any shortcoming or fault of the engaged third parties.

Article 6
True Lawyers performs its services in Curaçao and abroad. Travel outside Curaçao undertaken by True Lawyers on behalf of the Client shall be reimbursed by the Client. The Client shall bear the costs of accommodation and local transportation. No surcharge shall be applied by True Lawyers for costs related to travel outside Curaçao, and upon the Client’s request, copies of invoices evidencing the costs incurred shall be provided.

Article 7
Unless otherwise agreed in writing, the fee shall be determined based on the time worked multiplied by the applicable hourly rate. The fee is exclusive of office expenses and turnover tax to be charged.
The hourly rate and office expenses may be adjusted by True Lawyers from time to time. Invoicing of services shall take place at least monthly. True Lawyers shall pass on to the Client any costs not included in its rates, including but not limited to courier costs, translation costs, bailiff costs, travel expenses, court registry fees, stamp duties, office expenses and, in general, costs of third parties engaged in consultation with the Client. Unless expressly agreed otherwise, True Lawyers requests the Client to make an advance payment prior to the execution of the assignment. This advance payment shall be set off against the next invoice relating to the services for which the advance payment was made.

Article 8
As a rule, True Lawyers shall issue an invoice for its services once per month. Invoices must be paid within ten (10) days after the invoice date, failing which the Client shall be in default by operation of law. True Lawyers may suspend its services and charge default interest of one (1) % per month on the fee to which the invoice relates.
All judicial and extrajudicial costs related to the collection of invoices, with a minimum of 10% of the principal amount, shall be borne by the Client. Invoices shall be sent digitally unless otherwise agreed.

Article 9
True Lawyers is entitled to charge fees to the Client, increased by 8% office expenses to cover postage, telephone, fax, computer, material and other office expenses incurred. This shall not affect True Lawyers’ right to charge the Client a one-off fixed amount for the creation of a file. All invoiced amounts are exclusive of any applicable government taxes and/or levies.
True Lawyers is entitled to suspend the performance of all services relating to a specific assignment (after having informed the Client thereof by email) until the outstanding amount has been paid in full. True Lawyers shall not be liable for any damage resulting therefrom.

Article 10
In certain cases, True Lawyers may agree on a fixed fee or another form of remuneration. Such remuneration depends on the substance of the case, the claims or defences arising therefrom, and the (legal) measures to be taken. If, after such remuneration has been agreed, the nature or scope of the (legal) measures changes due to changed circumstances or wishes of the Client, True Lawyers reserves the right to adjust the fee arrangements accordingly.
If a fixed fee or other form of remuneration applies instead of or in addition to an hourly fee, no refund shall be made if the (legal) measures do not take place within twelve months after the remuneration has been agreed and paid, for any reason attributable to the Client. No refund shall be made if the Client decides to discontinue or suspend the agreed services or legal measures prematurely. No interest shall ever be paid on such remuneration.
The services shall commence after the fixed fee or other fixed remuneration has been received by True Lawyers.

Article 11
True Lawyers shall take the necessary measures to safeguard the confidentiality of data provided to True Lawyers by the Client.
Pursuant to applicable legislation, including the National Ordinance on Identification of Services and the National Ordinance on the Reporting of Unusual Transactions, True Lawyers is, under certain circumstances and for the purpose of preventing money laundering and terrorist financing, obliged to establish the identity of the Client and the ultimate beneficial owner(s), and to report unusual transactions to the designated authorities. True Lawyers is prohibited from informing the Client or any third party that such a report has been made.

Article 12
True Lawyers does not have a Foundation for Third-Party Funds and does not receive third-party funds.

Article 13
Pursuant to the National Ordinance on Identification in Financial Services, True Lawyers is, depending on the services provided, obliged to establish the identity of a Client and the ultimate beneficial owner, if any, prior to providing the services. This legal obligation requires True Lawyers to identify the Client(s) by requesting and retaining a number of documents supporting such identity. If the required information is not provided, True Lawyers cannot proceed with the provision of services.

Article 14
The legal relationship between True Lawyers and the Client shall be governed exclusively by the laws of Curaçao, to the exclusion of any other law. Disputes shall only be submitted to the Court of First Instance of Curaçao, or the authority designated in due course as its legal successor, unless True Lawyers chooses another forum for its own reasons.
